Terms and conditions of sale

These terms apply when you buy anything from WellbeingROI, and when you use our free tools. Please read them before you buy. By placing an order you agree to them.

We've written these in plain English on purpose. The whole site is written that way and there's no reason the terms should be the exception.

1.Who we are

We are Edacity Ltd, trading as WellbeingROI. We're a company registered in England and Wales, company number 09380627. Our registered office is 43a St Marys Road, Market Harborough, Leicestershire, LE16 7DS.

You can reach us at contact@wellbeingroi.com. Email is the fastest way to get to us and we aim to reply within two working days. In these terms, 'we', 'us' and 'our' mean Edacity Ltd trading as WellbeingROI, and 'you' means the person or organisation buying from us or using our tools.

2.Who these terms are for

We sell to organisations. Our products are built for employers, and they're bought by people acting for a business, a charity, a school or a public body.

If you're buying as a consumer rather than for an organisation, please email us before you order. Different rules apply to consumer purchases and we'd rather deal with your order properly than have you rely on terms written for business buyers. Nothing in these terms affects any statutory rights you have as a consumer.

3.What we sell, and what it is

We sell digital reports, diagnostics, toolkits, training places and licences. We also give away free tools, including the WellbeingROI Scan and our benchmark packs.

Our figures are estimates. They're built from published sources that we cite, and from assumptions that we label. Some are modelled. Your own figures will differ. We don't guarantee any saving, result, or regulatory compliance, and nothing we sell is a completed stress risk assessment. You remain responsible for your own legal duties, including consulting your employees where the law requires it, and for getting professional advice where you need it.

References to the HSE Management Standards and to ISO 45003 are for identification only. They imply no affiliation with, or endorsement by, those bodies.

4.The free tools

The Scan and our other calculators run in your browser using the figures you type in. They're designed not to collect personal information about individual employees, and any logo you add stays on your device. If you ask us to email you a report, or you download a benchmark pack, we use the email address you give us as set out in our Privacy notice.

Free means free. We don't charge for these and we don't promise they'll always be available, error-free, or suitable for any particular purpose. Sections 3 and 12 apply to them just as they do to anything you pay for.

5.Ordering and payment

Payment and checkout are handled by Lemon Squeezy, who act as the merchant of record for the sale. In practice that means Lemon Squeezy is the seller for the transaction itself. They take the payment, they handle any tax due, they issue the receipt, and their own terms apply to your purchase alongside these.

We're responsible for the product: what's in it, whether it works, and supporting you with it. If something's wrong, come to us first and we'll sort it.

Your order is accepted when Lemon Squeezy confirms your payment and we make the product available to you. If we can't accept your order, we'll tell you and you won't be charged.

Lemon Squeezy is the merchant of record for every sale: it charges UK VAT at checkout under its own registration, and its receipt is your tax document. Edacity Ltd is not VAT-registered itself, which is why we don't issue VAT invoices. If your finance team needs anything beyond the Lemon Squeezy receipt, email us.

6.Prices and tax

We can change our prices at any time, but a change never affects an order you've already placed.

7.Getting what you've bought

Digital downloads are available immediately after payment, through the link Lemon Squeezy sends you. Training places and licences are set up separately and we'll tell you how when you buy.

Delivery is complete when we make the product available to you, whether or not you download it straight away.

If a download fails, a link expires, or a file won't open, email us and we'll get it to you. That's a fix, not a favour, and there's no time limit on asking.

8.What you may do with what you buy

This section differs by product, so it's worth reading properly.

Reports, toolkits, packs and other downloads. You get a licence to use the product inside your own single organisation, with no limit on how many of your own people use it. Share it with your board, your leadership team, your managers, your HR and health-and-safety colleagues. Print it, quote from it internally, paste our templates into your own board papers and adapt them to your own numbers. That's what it's for.

Training places. A place on a WellbeingROI training or certification programme is for one named person. Places aren't transferable between people without our agreement, and any certificate we issue belongs to the individual who earned it, not to their employer.

Partner and framework licences. These are sold under a separate written agreement, which sets the term, the fee, what's licensed and what isn't. Where that agreement and these terms disagree, that agreement wins.

Subscriptions. Where a product is sold as a subscription, it runs for the period you've paid for and doesn't renew automatically unless we've clearly told you otherwise at checkout.

Every licence in this section depends on us being paid and keeping that payment. If a payment is refunded, reversed or charged back, the licence ends. Section 10 says what happens then.

9.What you may not do

Across everything we sell, you may not:

• resell, redistribute, sub-license, rent or publish our products or their contents, in whole or in part, outside your own organisation;
• use our products to deliver services to your own clients, or share them across a group of separate companies, unless you hold a partner or framework licence from us that says you can;
• remove or obscure our branding, or present our work as your own;
• use our name, marks or materials to imply that we endorse you, your organisation or your results;
• feed our products into any system that reproduces or redistributes them.

If you want to do any of these things, ask. There's a licence tier for most of them and we'd rather sell you one than find out later.

10.Cancellation and refunds

Our products are digital and you get them straight away. Once we've made a product available to you, we've delivered it in full, so we don't refund because you've changed your mind.

If something's wrong with what you've bought, email contact@wellbeingroi.com and we'll put it right. We'd far rather fix a problem than argue about one.

Where a refund is agreed, or where a payment is reversed or charged back, your licence to use the product ends that day. You'll need to delete every copy you hold, including any shared inside your organisation, and stop using anything you've built from it.

Nothing in this section affects your statutory rights.

11.Our intellectual property

Everything on this site and in our products belongs to Edacity Ltd or is used under licence: the text, the figures, the frameworks, the scoring model, the designs, and the WellbeingROI name and branding. Buying a product gives you the licence in section 8 and nothing more. It doesn't transfer ownership of anything.

Where we quote published research, the underlying work belongs to whoever published it, and we cite it so you can check it.

Our copyright doesn't depend on your licence. If your licence ends for any reason, our ownership and the restrictions in section 9 carry on, and so does this section.

12.Our liability

To the fullest extent the law allows, we're not liable for any loss or damage arising from your use of, or reliance on, this site, our free tools or our products. That includes any business loss, lost profit, lost savings, or any decision you take on the strength of a figure we've given you.

Where we are liable, our total liability to you is limited to the amount you paid us for the product the claim relates to.

Nothing in these terms limits or excludes liability that can't be limited or excluded under the law of England and Wales, including liability for death or personal injury caused by negligence, or for fraud. Nothing here affects your statutory rights as a consumer.

13.Availability

We try to keep the site and our tools running, but we don't promise they'll always be available or uninterrupted. We may change, suspend or withdraw any part of the site, or any free tool, without notice. If we withdraw a paid product you've already bought, you keep your copy and your licence to use it.

14.Changes to these terms

We may update these terms. The version published on this page is the one that applies, and we'll change the date at the top when we change anything. A change never applies retrospectively to an order you've already placed.

15.If something goes wrong

Email contact@wellbeingroi.com. Tell us what happened and what you'd like us to do about it. We aim to reply within two working days and to resolve things without you having to chase.

16.Governing law

These terms, and any dispute arising from them or from your use of the site or our products, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
